1. Introduction and Acceptance
These Terms of Service (the “Agreement”) govern your use of FlowMetricsPro, a productivity analytics and performance monitoring platform for remote teams (“Service”). The Service is provided by FlowMetricsPro (“we”, “us” or “our”). By accessing or using the Service, you agree to be bound by this Agreement and acknowledge that it constitutes a legally binding contract between you and FlowMetricsPro. If you do not agree to these terms, you must not access or use the Service.
2. Changes to Terms
We may modify this Agreement at any time. Updates, features or amendments that enhance the current Service will also be subject to this Agreement. Continued use of the Service after any changes constitutes your acceptance of the modified terms. Please review these terms regularly.
3. Definitions
In this Agreement, “Client” refers to a company, organization or other entity that purchases or subscribes to the Service for use by its members or employees; “User” refers to an individual who uses the Service. “Content” means all data, text, files, and other materials that you submit, upload or otherwise make available through the Service.
4. Account Registration and Eligibility
To access many features of the Service, you must register and create an account. When registering you agree to:
provide true, accurate and complete information;
maintain the confidentiality of your login credentials;
not allow any third party to use your account without authorization; and
notify us immediately of any unauthorized use of your account.
You must be at least 18 years old and have legal capacity to enter into this Agreement. You are responsible for all activities that occur under your account and may be liable for losses resulting from unauthorized use.
5. License and Rights
Subject to your compliance with this Agreement, FlowMetricsPro grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Service for your internal business purposes. This licence does not permit you to:
reproduce, duplicate, copy, sell or resell any part of the Service;
distribute, sublicense or otherwise transfer the Service to any third party; or
reverse engineer, modify or create derivative works of any software provided by FlowMetricsPro.
All rights, title and interest in and to the Service (and all intellectual property therein) are and will remain the exclusive property of FlowMetricsPro and its licensors. You must not republish, sell, rent, sublicense or redistribute service content without our express permission.
6. Use of the Service and Prohibited Activities
You agree to use the Service only for lawful purposes. The following activities are prohibited:
using the Service in any way that violates applicable laws or regulations;
disrupting or interfering with the Service or servers (including via viruses, malware or other harmful code);
uploading or transmitting material that is defamatory, obscene, offensive, discriminatory or otherwise objectionable;
infringing on the intellectual property or privacy rights of others;
sending spam or unsolicited messages;
impersonating another person or misrepresenting your affiliation; and
using the Service to harass, stalk or threaten others.
We reserve the right to monitor, remove or restrict content and accounts that violate these terms or our policies.
7. Payments and Subscription
Some features of the Service require payment of subscription fees. If you purchase a subscription:
you authorize us (and our payment processors) to store your payment details and charge recurring fees;
fees are billed in advance on a monthly or annual basis (depending on your plan) and are non‑refundable;
prices and fees are subject to change; continued use after a price change indicates acceptance; and
you are responsible for paying any applicable taxes or duties.
Downgrades or cancellations will take effect at the next billing cycle; we do not provide refunds for partial months or unused periods.
8. Termination and Suspension
We may terminate or suspend your access to the Service (and delete or deactivate your account) at any time, with or without notice, for any reason including violation of this Agreement or applicable law. Termination may result in the forfeiture of all content associated with your account. You may terminate your account at any time by contacting us; however, fees already paid are non‑refundable.
9. Modifications to the Service
We reserve the right to modify, suspend or discontinue the Service (or any part thereof) at any time without liability. Your continued use of the Service constitutes acceptance of any modifications.
10. User Content
You may submit or upload content to the Service (for example, time logs, comments or messages). You retain ownership of your content but grant FlowMetricsPro a worldwide, non‑exclusive, royalty‑free licence to host, store, reproduce and display such content for the purpose of operating and improving the Service. You are solely responsible for your content. We reserve the right to remove content that violates this Agreement or applicable law.
11. Intellectual Property
All software, code, analytics, designs, graphics, text and other materials comprising the Service are owned by FlowMetricsPro or our licensors and are protected by copyright, trademark and other intellectual property laws. No rights are granted to you other than those expressly stated in this Agreement. You may not use the FlowMetricsPro name, logo or other marks without our permission.
12. Data Privacy and Retention
Your use of the Service is subject to our Privacy Notice, which describes how we collect, use and protect your personal data. By using the Service, you consent to the collection and use of information as described in the Privacy Notice. We have a data retention policy and do not store user data indefinitely. We may update our retention periods over time; please review our Privacy Notice for details.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory. We do not warrant that the Service will meet your requirements, be uninterrupted or error‑free, or that any results will be accurate or reliable. No advice or information obtained from FlowMetricsPro or through the Service creates any warranty not expressly stated herein.
14. Limitation of Liability
To the fullest extent permitted by law, FlowMetricsPro and our affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use or goodwill arising from your use of the Service. Our aggregate liability for all claims related to the Service shall not exceed the total amount paid by you to FlowMetricsPro for the Service in the twelve months preceding the claim. Some jurisdictions do not allow certain liability limitations; in such cases, our liability is limited to the extent permitted by law.
15. Indemnity
You agree to indemnify, defend and hold harmless FlowMetricsPro and its affiliates, directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including legal fees) arising out of or relating to your use of the Service, your violation of this Agreement or any law or rights of a third party.
16. Governing Law and Dispute Resolution
This Agreement and any dispute arising from it or the Service will be governed by and interpreted according to the laws of India, without regard to its conflict of law provisions. We encourage you to contact us first to resolve any dispute. You agree to submit to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India, for resolution of any legal matter arising from or related to this Agreement.
17. Miscellaneous
If any provision of this Agreement is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision of this Agreement will not be deemed a waiver of our right to enforce such provision in the future. We may assign or transfer our rights and obligations under this Agreement at any time; you may not assign your rights without our prior written consent.
